The terms of our partnership. Please read carefully before signing and returning via email.

DISPATCH SERVICE AGREEMENT — Trucking With PHP

This Dispatch Service Agreement ("Agreement") is entered into between Trucking With PHP ("Dispatcher"), located at 415 S Swing Road, Greensboro, NC 27409, and the undersigned motor carrier ("Carrier"). This Agreement governs all dispatch services provided by Dispatcher on behalf of Carrier.

1. Independent Contractor Relationship

Carrier is and shall remain an independent contractor at all times. Nothing in this Agreement shall create an employer-employee, partnership, or joint venture relationship. Carrier retains full control over their equipment, drivers, and operations.

2. Scope of Dispatch Services

Dispatcher agrees to perform the following on behalf of Carrier:

  • Search load boards (DAT, Truckstop, and others) and negotiate freight rates
  • Book loads and execute rate confirmations with brokers and shippers
  • Handle all broker onboarding, carrier setup packets, and compliance paperwork
  • Prepare, submit, and track invoices and coordinate with factoring companies
  • Provide 24/7 dispatch support including detention, breakdown, and lumper assistance
  • Optimize routes to minimize deadhead miles and maximize revenue per mile
3. No Force Dispatch

Carrier retains the absolute right to accept or reject any load presented by Dispatcher. Dispatcher will never force dispatch a load. Carrier will always receive full load details — rate, miles, origin, destination, and commodity — before any commitment is made.

4. Dispatch Fee

Carrier agrees to pay Dispatcher a fee of ten percent (10%) of the gross transportation revenue on each load booked by Dispatcher. No fee is charged for days the truck is not moving on a Dispatcher-arranged load.

5. Carrier Responsibilities
  • Maintain valid MC authority, USDOT number, and all required operating licenses
  • Maintain current insurance meeting all federal minimums ($1M liability, $100K cargo)
  • Notify Dispatcher immediately of any changes to insurance, authority, or equipment
  • Pick up and deliver all booked loads on time and in good condition
  • Submit all required documents (BOL, POD, rate confirmations) within 24 hours of delivery
  • Comply with all FMCSA regulations, HOS rules, and applicable federal and state laws
6. Power of Attorney

Carrier grants Dispatcher a limited Power of Attorney to sign rate confirmations, submit carrier setup packets and broker onboarding forms, communicate with brokers and shippers on Carrier's behalf, and handle invoice submissions and factoring company coordination. This power is strictly limited to dispatch-related activities.

7. Non-Solicitation

During the term of this Agreement and for twelve (12) months following termination, Carrier agrees not to directly solicit freight from any broker or shipper first introduced by Dispatcher without written consent. Violation may result in Carrier being liable for 100% of gross revenue earned from such direct solicitation.

8. Confidentiality

Both parties agree to keep confidential all proprietary information, broker contacts, load rates, and business strategies shared during this Agreement. This obligation survives termination.

9. Term & Termination

This Agreement is month-to-month. Either party may terminate with 30 days written notice via email or certified mail. Dispatcher may terminate immediately for non-payment or material breach.

10. Limitation of Liability

Dispatcher shall not be liable for lost revenue, load cancellations, or disputes from broker/shipper decisions beyond Dispatcher's control. Dispatcher's maximum liability shall not exceed dispatch fees paid in the preceding 30 days.

11. Governing Law

This Agreement shall be governed by the laws of the State of North Carolina. Disputes shall be settled by binding arbitration in Guilford County, North Carolina.

How long does onboarding take?

We verify all documents and complete onboarding within 2 hours of receiving your carrier packet. Most carriers have their first load booked by the next business day. Same-day onboarding is available for carriers with all documents ready.

Do I have to sign a long-term contract?

No. Our agreement is month-to-month with 30 days written notice to cancel. No setup fees, no cancellation fees. We believe in earning your business every month through results, not locking you in.

What if I don't like a load you find?

You always have final say. We present load options with full details — rate, miles, origin, destination, broker — and you approve before we book. We never force dispatch. Your truck, your decision, always.

Can you dispatch for new authorities?

Yes. We work with brand new MC authorities as well as established carriers. We help new authorities get set up with brokers, build a load history, and navigate the critical first 90 days of operation.

Do you work with factoring companies?

Absolutely. We coordinate directly with your factoring company and handle all NOA submissions. If you don't have one yet, we can recommend trusted factoring partners that work well with our carrier network.

What load boards do you use?

We search DAT One, Truckstop.com, 123Loadboard, and direct shipper and broker networks. We also maintain direct broker relationships to find dedicated freight not posted publicly — often at better rates than spot loads.
